Nothing on the Website constitutes a binding offer unless explicitly stated in a written agreement.

2. Use of the Website

Softgate does not guarantee that the Website will be uninterrupted, error-free, or free of harmful components.

Unauthorized use of the Website, including attempts to interfere with its operation or security, is prohibited.

3. Agreements and Payments

Services are rendered exclusively based on individual agreements concluded between Softgate and the client.

Fees, payment methods, and payment schedules are governed by the applicable agreement.

Softgate may accept payments, including payments made in cryptocurrency, where agreed by the parties.

Softgate reserves the right to suspend or terminate Services in case of non-payment or breach of contractual obligations.

4. Anti-Money Laundering (AML)

Softgate is committed to complying with applicable anti-money laundering and counter-terrorist financing regulations.

Where required by law or internal compliance procedures, Softgate may request information or documentation to verify identity, source of funds, or transaction legitimacy. Failure to provide such information may result in refusal or suspension of Services.

5. Intellectual Property

All intellectual property rights related to the Website, including text, graphics, logos, and software, are owned by or licensed to Softgate.

Softgate shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, business interruption, or loss of data;

Softgate shall not be responsible for decisions made or actions taken based on the use of the Services;

Softgate’s total liability under these Terms shall not exceed the total amount paid to Softgate under the applicable agreement giving rise to the claim.

9. Force Majeure

Softgate shall not be liable for failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, network failures, governmental actions, or interruptions of utilities or communications.

10. Third-Party Services and Subcontractors

Softgate may engage subcontractors or third-party service providers in the performance of the Services. Softgate remains responsible for the Services in accordance with the applicable agreement.

11. Data Protection

Softgate processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR).

12. Termination

Termination of Services is governed by the terms of the applicable agreement.

Termination does not affect accrued rights, payment obligations, or provisions which by their nature should survive termination.

Softgate may amend these Terms from time to time by publishing an updated version on the Website. Continued use of the Website or Services after such publication constitutes acceptance of the amended Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Poland.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Poland.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
